Applies To: Leg Up Rx ("Leg Up Rx," "we," "us," or "our"), a DBA of Leg Up Recovery Franchising LLC
These Terms of Use ("Terms") govern your access to and use of the Leg Up Rx websites, portals, and any related mobile or web applications that link to these Terms (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
You must be at least 18 years old and able to form a binding contract to use the Services. By using the Services, you represent and warrant that you meet these requirements and will comply with all applicable laws.
a. Scope. The Services may include informational content, account tools, and access to telehealth facilitation features connecting you with independent healthcare professionals and pharmacies ("Healthcare Partners").
b. Independent Providers. Healthcare services (including diagnoses, prescribing, and pharmacy fulfillment) are provided exclusively by independent, third-party professionals and pharmacies—not by Leg Up Rx. We do not practice medicine, provide medical advice, or dispense medications.
c. No Emergencies. Do not use the Services for emergencies. If you are experiencing an emergency, call 911 (or your local emergency number) immediately.
a. Registration. Certain features require an account. You agree to provide accurate, current, and complete information and to keep it updated.
b. Credentials. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. Notify us promptly of any suspected unauthorized use.
c. Verification. We may require identity, age, or eligibility verification consistent with law and Healthcare Partner requirements.
a. Limited License. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended, lawful purpose.
b. Prohibited Uses. You will not: (i) copy, modify, or create derivative works of the Services; (ii) reverse engineer or attempt to extract source code; (iii) bypass or interfere with security or access controls; (iv) use the Services to violate law or third-party rights; (v) submit false, misleading, or harmful information; (vi) use any automated means (scrapers, crawlers, bots) without our prior written consent.
a. Ownership. You retain ownership of content you submit to the Services ("User Content").
b. License to Us. You grant Leg Up Rx a worldwide, royalty-free, non-exclusive, sublicensable license to host, store, reproduce, modify, adapt, publish, display, and distribute User Content solely to operate, improve, and provide the Services.
c. Standards. You will not submit content that is unlawful, harmful, threatening, abusive, defamatory, obscene, infringing, or that contains personal data of others without authorization.
d. Monitoring. We may (but are not obligated to) monitor, remove, or disable access to User Content at our discretion.
e. Feedback. If you send ideas or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or compensation.
a. No Medical Advice. Content on the Services is for informational purposes only and is not a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of a qualified healthcare provider.
b. Provider/Pharmacy Independence. Any healthcare advice, diagnosis, prescribing decisions, fulfillment, or communications you receive from Healthcare Partners are between you and those third parties. Leg Up Rx is not responsible for clinical decisions or outcomes.
c. Compliance. You agree to provide accurate health information and to follow instructions given by Healthcare Partners. Misuse or misrepresentation may result in denial of services.
a. Pricing & Payment. Where the Services facilitate purchases (e.g., visit fees, subscriptions, or products), you authorize us or our payment processors to charge your selected payment method for all amounts due, plus applicable taxes and shipping (if any).
b. Third-Party Fulfillment. Dispensing, shipping, and clinical services may be performed by third parties subject to their terms and policies.
c. Refunds. Except where required by law or expressly stated otherwise, fees are non-refundable once services are rendered or orders are processed.
d. Chargebacks. You agree not to make fraudulent or improper chargebacks. If a chargeback is initiated, related amounts may be placed on hold pending resolution and, if resolved in our favor, re-charged to your payment method or offset against future amounts due.
The Services may reference or link to third-party sites, apps, tools, or services (including Healthcare Partners and payment providers). We are not responsible for third-party content, policies, or practices. Your use of third-party services is governed by their terms and privacy policies.
The Services (including text, graphics, logos, trademarks, compilations, code, and other content) are owned by Leg Up Rx or its licensors and are protected by intellectual property laws. Except for the limited license in Section 5, no rights are granted to you. All trademarks, service marks, and logos are the property of their respective owners.
Your use of the Services is subject to our Privacy Policy (which explains what we collect, how we use it, and your choices). Please review it carefully.
You consent to receive notices and communications from us electronically (e.g., by email, in-app messages, SMS where permitted and with consent). You may update communication preferences as described in the Privacy Policy and any relevant consents.
We may suspend or terminate access to the Services (or specific features) at any time, with or without notice, including for suspected violations of these Terms, risk to users, fraud, unlawful activity, or technical/security issues. You may stop using the Services at any time.
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEG UP RX, LEG UP RECOVERY FRANCHISING LLC, THEIR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT WILL OUR TOTAL LIABILITY EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNT YOU PAID (IF ANY) FOR ACCESS TO THE RELEVANT SERVICE IN THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.
You agree to defend, indemnify, and hold harmless Leg Up Rx, Leg Up Recovery Franchising LLC, and their affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your: (i) use of the Services; (ii) violation of these Terms; (iii) User Content; or (iv) violation of any law or third-party rights.
We may modify these Terms at any time. Updates are effective when posted to the Services (or on the date stated). Your continued use after the effective date constitutes acceptance of the updated Terms.
These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the State of Georgia, without regard to its conflict-of-law rules. You consent to the exclusive jurisdiction and venue of state and federal courts located in Fulton County, Georgia for all disputes that are not subject to arbitration or where arbitration is unavailable.
a. Entire Agreement. These Terms, together with the Privacy Policy and any posted policies or product-specific terms, are the entire agreement between you and us.
b. Severability. If any provision is found unenforceable, the remainder remains in effect.
c. No Waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
d. Assignment. You may not assign or transfer your rights or obligations without our prior written consent. We may assign these Terms as part of a merger, acquisition, or sale of assets.
